ourGOVERNANCE

ourGOVERNANCE is an e-learning programme for directors of Non Profit companies. The objective of the programme is to provide directors of Non Profit companies with the understanding, guidelines and information they need to enable them to manage their organisation, its affairs and undertakings effectively, comply with legal and legislative requirements, and to fulfil the obligations and expectations incumbent upon them as directors.

The e-learning programme is grouped under four modules covering fifteen sections in total:

Module 1 - Introduction to corporate governance and the nature of the Non Profit Company. Covers the following:

• Objective and scope of the code
• What corporate governance is all about
• Legal nature of the Non-Profit Company
• Main object of the enterprise – Why it exists
• Who its stakeholders and beneficiaries are  
• The incorporators of the enterprise

This module has 6 sections with 28 of 100 questions in the self assessment.

Module 2 - Duties and functions of a board of directors. Covers the following:

• The Board of Directors
• Duties and responsibilities of a Director
• The Chair (Chairperson)

This module has 3 sections with 27 of 100 questions in the self assessment.

Module 3 - Company effectiveness. Covers the following:

• Board Effectiveness
• Managers and Committees  
• Employees

This module has 3 sections with 22 of 100 questions in the self assessment.

Module 4 - Statutory requirements and code of conduct. Covers the following:

• Auditing requirements
• Legal and statutory compliance
• Code of conduct and ethics    

This module has 3 sections and 23 of 100 questions in the self assessment.

The essence of ourGOVERNANCE © is that once the Director/Executive of the Non profit has registered with ‘third sector insights’ they will gain access to not only their personal development programme through ourGOVERNANCE ©, but they will also have access to the Non Profit Director Forum (NPDF) and will receive a quarterly ‘third sector insights’ update brief with the latest and relevant information globally and locally, specifically on Non Profit issues.

The registered Director/Executive will have six months and five attempts at the successfully completing the programme, and requires an 80% or higher pass mark to be successful. On successful completion of the programme they will receive a certificate of completion.

Registration for ourGOVERNANCE includes:

• Online modules: Introduction to Directorship and Corporate Governance. 4 modules to be completed online at your own pace.
• Evaluation and review: Evaluation questionnaire following each module. Review or progress to next module. community.
• Online community: Online forum and chat feature to engage with fellow directors on the course and discuss relevant issues.
• Communication and support: TSI quarterly update.
